END-USER LICENSE AGREEMENT STOCKANALYST ® VERSION 1.0 TradersDirect Co ( www.tradersdirect.com ) Copyright © 2010-2011. All rights reserved. SOFTWARE PRODUCT LICENSE USE OF THE SOFTWARE IS SUBJECT TO THE LICENSE TERMS BELOW. USING THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THESE LICENSE TERMS. 1. SOFTWARE The capitalized term "SOFTWARE" used below refers to the software identified above, any updates to the SOFTWARE, the User's Guide and Help Documentation, any associated SOFTWARE components, any related media and printed materials, and any "online" or electronic documentation. 2. GRANT OF LICENSE Software Installation and Use For each separately purchased SOFTWARE license you are authorized to install and use only one copy of the SOFTWARE on one COMPUTER. The SOFTWARE may not be installed, accessed, displayed, run, shared or used concurrently on or from different computers, including a workstation, terminal or other digital electronic device. You may make a single back-up copy of the SOFTWARE. You may use the back-up copy solely for archival purposes. Otherwise, you may not copy the SOFTWARE in whole or in part, including the printed materials accompanying the SOFTWARE. 3. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reduce the SOFTWARE to human readable form, reverse engineer, de-compile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Rental You may not rent, lease or lend the SOFTWARE. Termination This license terminates if you fail to comply with its terms and conditions. In such event, you must destroy all copies of the SOFTWARE. Trademarks This LICENSE does not grant you any rights in connection with any trademarks or service marks of the TradersDirect, or its suppliers. 4. COPYRIGHT You acknowledge that you have only the limited, non-exclusive right to use and copy the SOFTWARE as expressly stated in this LICENSE and that the Manufacturer retains all other rights. You agree not to remove or modify any copyright, trademark or other proprietary notices which appear in the SOFTWARE. The SOFTWARE is protected by United States copyright law and international treaties. The SOFTWARE is licensed, not sold. 5. TECHNICAL SUPPORT You may be provided with technical support services related to the SOFTWARE. If you have any questions concerning this license or desire technical assistance please refer to the user manual or help documentation included with the SOFTWARE. 6. EXPORT RESTRICTIONS You agree that you will not export or re-export the Software to any country, person, entity, or end user subject to U.S.A. export restrictions. Restricted countries currently include, but are not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan, and Syria. 7. LIMITED WARRANTY LIMITED WARRANTY TradersDirect warrants that the SOFTWARE will perform adequately in accordance with the accompanying written materials for a period of ninety (30) days from the date of purchase. Otherwise the SOFTWARE will be either replaced or returned for the full product value. NO OTHER WARRANTIES To the maximum extent permitted by applicable law, TradersDirect and its suppliers disclaim all other warranties, either express or implied, including, but not limited to implied warranties of merchantability, fitness for a particular purpose, or noninfringement. NO LIABILITY FOR CONSEQUENTIAL DAMAGES To the maximum extent permitted by applicable law, in no event shall TradersDirect or its suppliers be liable for any damages whatsoever (including without limitation, special, incidental, consequential, or indirect damages for personal injury, loss of business profits, business interruption, loss of business information, or any other pecuniary loss) resulting out of the use of or inability to use this product, even if TradersDirect has been advised of the possibility of such damages. In any case, TradersDirect and its suppliers' entire liability under any provision of this agreement shall be limited to the amount actually paid by you for the SOFTWARE. 8. U.S. GOVERNMENT RESTRICTED RIGHTS The SOFTWARE and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable. 9. MISCELLANEOUS If you acquired the Software in the United States, this license is governed by the laws of the state of Illinois. If you acquired the Software outside of the United States, then local laws may apply. 10. RISK OF TRADING OF EQUITIES TradersDirect provides an information service for investors. The information TradersDirect obtains is deemed to be reliable but is not guaranteed for its correctness, accuracy, reliability, profit or otherwise. TradersDirect does not warrant the information provided nor make any guarantees on performance. TradersDirect, its publishers, owners, partners, affiliates or investors are not liable for any losses or damages, monetary or otherwise that result from the content of the TradersDirect software or services.
