SwampFox Software Ltd. Software License for LiveServiceDesk Version 2.0 (herein known as the "Software") License agreement between "us/we" as SUPPLIER and "you" as LICENSEE If you do not agree to the terms of this license, do not install the Software or use any registration number provided with the Software. Your use of this Software and/or the registration number indicates your acceptance of this license agreement. If this is a trial version then this license will expire after 28 days. If you would like to use the Software after the trial period, then you must purchase a full license from us. Contact us if you would like an extension to your trial. 1 License 1.1 This License grants you the right to: 1.1.1 nonexclusive use of the software by a single REGISTERED LICENSED company, organization or personal identity for up to 25 agents. Additional licenses will be required for each additional set of up to 25 agents. 1.1.2 use the Software under all domains that are owned, operated and controlled by your REGISTERED LICENSED company, organization or personal identity. 1.1.3 make software copies only for agents using the software employed by your REGISTERED LICENSED company, organization or personal identity AND for use on system(s) owned by or rented by your REGISTERED LICENSED company, organization or personal identity. All instances of the software MUST include all copyright and trademark notices from the original. 1.1.4 make one copy of the Software in machine readable form for back-up purposes. You must reproduce on any such copy all copyright and trademark notices from the original. 1.1.5 modify the software web server source code to better fit your companys needs. We do not provide support for modified web server source code. 2 Restrictions 2.1 This License does not allow you to: 2.1.1 decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human readable form, except to the extent that such activities cannot be prohibited by law; 2.1.2 make unlicensed copies of the Software except as provided for back up purposes; 2.1.3 modify, sell, rent, lend, lease, transfer, resell for profit, distribute or create derivative works based on the Software or any part of it; 2.1.4 use the Software to perform any unauthorised transfer of information, such as copying or transferring a file in violation of a copyright, or for any illegal purpose. 3 Ownership and Intellectual Property 3.1 SwampFox Software owns the Copyright and all Intellectual Property Rights of the Software and of any authorised copies you make. 3.2 You own only the CD or medium on which the Software is recorded or fixed. 3.3 All Copyright notices used throughout the program, within the scripts and within the HTML that the scripts generate, MUST remain intact. Furthermore, these notices, including "By liveservicedesk.com" that appears online, must remain visible to the human eye. 4 Warranty 4.1 If we supplied the Software to you on CD, we warrant that for a period of 30 days from supply, the CD will be free from defects in materials and workmanship under normal use. If a defect within the warranty period occurs you will be entitled to either a replacement CD or a full refund. 4.2 Otherwise the Software is provided "as is" without warranty of any kind, either expressed or implied, including (without limitation) implied warranties of merchantability and fitness for a particular purpose. We neither make any warranty nor approve the making of any representation that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error free. You are responsible for ensuring that the Software will satisfy your requirements. 4.3 The Software is not fault-tolerant and is not designed, manufactured or intended for use in high-risk, hazardous or fail-safe environments. SwampFox Software Ltd specifically disclaims any expressed or implied warranties of fitness for any High-Risk Activities. 5 Liability 5.1 The user must assume the entire risk of using the program. Any liability of SwampFox Software is limited exclusively to product replacement or refund of purchase price. We are not liable to you for any consequential, special, incidental, or indirect damages of any kind arising out of the delivery, performance or use of the Software. 5.2 SwampFox Software Ltd is not liable for any conduct associated with messaging service activity, or for any messages sent using this program. 6 Termination 6.1 This License will terminate automatically if you: 6.1.1 have a trial version and the 28 day trial period expires which means you must destroy all copies of the Software and Documentation; 6.1.2 fail to comply with its terms and conditions. If your license terminates, you must destroy all copies of the Software and Documentation. 6.1.3 destroy the copies of the Software in your possession; 6.1.4 voluntarily return the Software to us (in which case you must destroy or delete all copies of the Software in your possession); or 6.1.5 fail to comply with any of these provisions; 6.2 The termination of this license does not limit SwampFox Softwares other rights it may have by law. 6.3 By improperly using the Software you hereby agree to transfer the entire rights and income from such products or services benefiting from such activities to SwampFox Software Ltd and agree to pay reasonable legal and collection costs to enforce such rights. 7 General 7.1 This License contains the entire agreement of the parties and supersedes all prior or contemporaneous agreement or understandings, whether written or oral. 7.2 This License is subject to English law. Any dispute will be dealt with via Alternative Dispute Resolution (ADR) under the rules of CEDR. 7.3 This License is personal to you and cannot be assigned. Any person who is not a party to this License shall have no right to enforce any term against us under the contract (Rights of Third Parties) Act 1999.
