Web Application Kit License Agreement AthTek Software Co., LTD. END-USER LICENSE AGREEMENT FOR AthTek SOFTWAER CO.LTD.SOFTWARE PRODUCT(S) IMPORTANT-READ CAREFULLY: This AthTek End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and AthTek Software Co. LTD for the AthTek software product(s) identified above. By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE. 1.GRANT OF LICENSE. Install and use the Software on a single computer and make one copy of the Software in machine-readable form solely for backup purposes. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of the Software. Install the Software on a storage device, such as a network server, and run the Software on an internal network, provided the number of concurrent users does not exceed the number of copies of the Software purchased. A copy of the Software must be purchased for each such user. If you have purchased a multi-pack license for the Software product, such as a Ten-Pack license, or a license to make multiple installations of the Software, you may concurrently use the number of copies of the Software authorized by that purchase. Make copies of the End-User Product and distribute those copies for use solely by yourself or personnel employed by you, or by another party, solely for its own internal purposes. 2.COPYRIGHT: The SOFTWARE is owned by AthTek Software Co. LTD and is protected by People's Republic of China copyright laws and international treaty provisions. You may not copy the printed materials accompanying the SOFTWARE (if any), nor print copies of any user documentation provided in on-line or electronic form. 3.OTHER RESTRICTION: You may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form. You may not rent, lease or sublicense the Software. You may not modify the Software or create derivative works based upon the Software. 4.SUPPORT SERVICES: AthTek provides tech support services related to the SOFTWARE ("Support Services"). Use of Support Services is governed by AthTek polices and programs described in the user manual, in online documentation, and/or other AthTek-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE and subject to the terms and conditions of this EULA. With respect to technical information you provide to AthTek as part of the Support Services, AthTek may use such information for its business purposes, including for product support and development. AthTek will not utilize such technical information in a form that personally identifies you. 5. TERMINATION: Without prejudice to any other rights, AthTek may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE. 6. NO WARRANTIES: AthTek expressly disclaims any warranty for the SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANT OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH YOU. 7. LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event shall AthTek or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE or the provision of or failure to provide Support Services, even if AthTek has been advised of the possibility of such damages.
