SOFTWARE LICENSE AGREEMENT FOR TICKQUEST SOFTWARE SCAN WORKSHOP / NEOTICKER END OF DAY EDITION VERSION 3.6 Single User License IMPORTANT READ CAREFULLY: This License Agreement ("AGREEMENT") is a legal agreement between you (either an individual or a single entity) and TickQuest Inc. ("TICKQUEST") for the TickQuest software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). BY YOUR ACTION OF INSTALLING AND/OR USING THE SOFTWARE ON A COMPUTER, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, TICKQUEST IS UNWILLING TO LICENSE THE SOFTWARE PRODUCT TO YOU. In such event, you may not use or copy the SOFTWARE PRODUCT, and you should promptly REMOVE the SOFTWARE PRODUCT from your computer. The SOFTWARE PRODUCT is provided at no charge to you for a 14-day evaluation period ("EVALUATION PERIOD"), afterwhich it will cease to operate. If you would like to continue using the SOFTWARE PRODUCT after the EVALUATION PERIOD, you must purchase a license. When you purchase a license, you will receive a SOFTWARE REGISTRATION FILE that will turn off the evaluation checking and disable the related reminder messages and evaluation notices. The SOFTWARE PRODUCT combined with a SOFTWARE REGISTRATION FILE is a LICENSED SOFTWARE PRODUCT. This agreement is applicable to single user license only. For site and world-wide license you will have to contact TickQuest, Inc. The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold. 1. GRANT OF LICENSE. This AGREEMENT grants you the following rights: · Software Installation and Use. Except as otherwise expressly provided in Section 1 of this AGREEMENT, you may only use the SOFTWARE PRODUCT on one computer at any one time. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. · Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. · Separation of Components. The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on one or more computers. · Single Instance. The SOFTWARE PRODUCT is licensed as a single integrated product. The SOFTWARE PRODUCT may only be used as set forth in this AGREEMENT. You may only use the SOFTWARE PRODUCT on one computer at any time. · Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT in whole or in part. · Distribution. As an individual, you may freely distribute the SOFTWARE PRODUCT in its original unaltered form of the evaluation copies. Organizations who would like to include this SOFTWARE PRODUCT in distributions and/or bundles for remuneration must obtain explicit authorization from TickQuest, Inc. You may not distribute copies of a licensed SOFTWARE PRODUCT. · Termination. Without prejudice to any other rights, TICKQUEST may terminate your right to use the SOFTWARE PRODUCT under this AGREEMENT if you fail to comply with the terms and conditions of this AGREEMENT. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts. 3. UPGRADES. If the SOFTWARE PRODUCT is labeled as an upgrade, you must be properly licensed to use a product identified by TICKQUEST as being eligible for the upgrade in order to use the SOFTWARE PRODUCT ("Eligible Product"). A SOFTWARE PRODUCT labeled as an upgrade replaces and/or supplements the Eligible Product. You may use the resulting upgraded product only in accordance with the terms of this AGREEMENT. 4. COPYRIGHT. All titles and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text and "applets," incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT, are owned by TICKQUEST or its suppliers. You may not copy the printed materials accompanying the SOFTWARE PRODUCT. All rights not specifically granted under this AGREEMENT are reserved by TICKQUEST. 5. SOFTWARE REGISTRATION FILE. You may not distribute, reverse-engineer, or by any means directly or indirectly, alter the information encoded in the SOFTWARE REGISTRATION FILE. 6. LIMITED WARRANTY. TICKQUEST makes no express warranties and disclaims all implied warranties with regard to the SOFTWARE PRODUCT, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. You waive all claims against TICKQUEST, its directors, staffs, and associated suppliers, for special, indirect or consequential damages arising out of or in connection with the use or the inability to use or performance of the SOFTWARE PRODUCT or the related documentation. 7. LIMITATION OF LIABILITY. In no event will TICKQUEST or its suppliers be liable to you for any consequential, indirect, incidental, punitive, or special damages, including any lost profits or lost savings, even if a representative or TICKQUEST or any suppliers has been advised of the possibility of such damages, or for any claim by any third party. 8. DISCLAIMER. Past performance is not a guarantee of future results. Only risk capital should be used to trade futures, stocks, options on futures or stocks, mutual funds or any other type of financial instruments. Whether this product is used in conjunction with futures, stocks, stock indices or mutual funds, all nvolve a high degree of inherent financial risk and the possibility of loss is great. TickQuest Inc. does not assume any responsibilities, make any guarantees whatsoever, or make any trading recommendations in the SOFTWARE PRODUCT. All such investment vehicles carry risks and all trading decisions are ultimately made by you. You are solely and individually responsible for those decisions and the results of those decisions.
