END USER LICENSE AGREEMENT between any user of this Qivx software and Qivx Inc Your use of this software confirms that you agree to and are bound by this agreement. 1. LICENSE & USAGE: You are granted an initial "Trial Use" License to use this Software product by Qivx Inc for a period of time as determined by settings within the Software. Upon payment of a license fee as determined by Qivx Inc, you will be/are granted a permanent use license which will remain in effect as long as you comply with the terms of this license. You MAY install and use the Software on any single computer in a workplace and/or install and use the Software on all computers in your home. You MAY copy the Software for archival purposes, provided any copy must contain all of the original Software''s proprietary notices. You MAY copy and/or distribute this Software to others provided that you distribute to them the original file as downloaded from the Qivx Inc website. You may NOT lease, rent, sell any portion of the Software. You may NOT remove any proprietary notices or labels on the Software. You may NOT distribute or copy to any other person or entity, the propriatary code which enables full licensed use. The Software may NOT be circulated in any incomplete or modified form, which means you may not alter, delete, or add any files in the distribution package. You may not Decompile, Reverse Engineer, Disassemble, Modify, Translate, or make any attempt to discover the source code of the Software. The creation of derivative works from the Software is prohibited! 2. CUSTOMER SATISFACTION: We want you to be satisfied with this product. Therefore, if you feel that it fails to perform as we have stated in our advertising or documentation, please let us know about it and give us a chance to correct any deficiencies. Our "disclaimer of warranty" which follows is the standard wording of our industry and our lawyers insist on it being there. Nevertheless, permit us to do our best for you! 3. DISCLAIMER OF WARRANTY: QIVX INC DISCLAIMS ALL WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE OR DOCUMENTATION. SHOULD THE PROGRAM PROVE DEFECTIVE, THE PURCHASER ASSUMES THE RISK OF PAYING THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION AND ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. IN PARTICULAR, QIVX INC SHALL HAVE NO LIABILITY FOR ANY DATA STORED OR PROCESSED WITH THIS SOFTWARE, INCLUDING THE COSTS OF RECOVERING SUCH DATA. AS A RESULT, THIS SOFTWARE AND DOCUMENTATION ARE LICENSED "AS IS" AND YOU, THE LICENSEE, ARE ASSUMING THE ENTIRE RISK AS TO ITS QUALITY AND PERFORMANCE. TERMINATION: The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of the Software and Documentation. 5. OWNERSHIP & TITLE: Title, ownership rights, and intellectual property rights in and to the Software shall remain in Qivx Inc. The Software may contain certain scientific information which is presented as such and is not propriatary to Qivx Inc. Its expression in this Software is, however, copyright and you may NOT extract such information for the purpose of using it in another software product. The Software is protected by international copyright treaties.
