This License is a legal agreement between you, (Licensee), and QuantumLink Communications Pvt Ltd (QLC). Important - Read Carefully This End-User License Agreement ("Agreement") is a legal agreement between you and QuantumLink Communications Pvt Ltd for the software product(s) identified above (herein after referred to as "Product"), and any upgrades which may be acquired by you for the identified product from time to time. This may include associated software components, media, printed materials, and online or electronic documentation. By installing, copying, or otherwise using the Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Product. Grant Of License QLC grants you (Licensee) a non-exclusive, non-sub-licensable, non-transferable license to use the Product on a single computer in a binary executable form at a secure site owned or leased by the Licensee. All other rights are reserved to QLC. QLC shall retain title and all ownership rights to the Product. Use Restrictions Licensee agrees that the Product is based on and includes trade secrets and proprietary know-how belonging to QLC and is being made available to Licensee in confidence and solely on the basis of a confidential relationship with QLC. The Product is licensed, not sold. All title, including but not limited to copyrights, in and to the Product and any copies thereof are owned by QLC. Licensee must treat the Product and any printed materials that may accompany the Product like any other copyrighted material. Licensee may not copy the Product or any printed material that may accompany the Product. QLC reserves all rights not expressly granted. Software Media Notwithstanding that Licensee may receive the Product in more than one medium, Licensee may not use the other medium or media on another computer or loan, rent, lease, or transfer the Product or any medium containing the Product to a third party. Disclaimer Of Warranty The product is deemed accepted by licensee, and is provided on a "as is" basis without warranty of any kind. To the maximum extent permitted by applicable law, QLC further disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The entire risk arising out of the use or performance of the product and documentation remains with Licensee. In no event shall QLC or its suppliers be liable for any consequential, incidental, direct, special, punitive, or other damages whatsoever arising out of this agreement or the use of or inability to use the product, even if QLC has been advised of the possibility of such damages. This includes without limitation, damages for loss of business profits, business interruption, loss of business information, or any other loss. Customer Remedies QLC''s entire liability is to provide Licensee with a replacement of the Product. Governing Law This Agreement is governed by the laws of India, within the jurisdiction of the city of Mumbai. Ltd.'' only obligation under this Agreement is, at Cat Computer Services Pvt Ltd''s option, to either return payment as evidenced by a copy of the Receipt or replace the disk that does not meet Cat Computer Services Pvt. Ltd.'' limited warranty and which is returned to Cat Computer Services Pvt. Ltd. with the copy of the Receipt.
