INNOVISION SYSTEMS, INC. SOFTWARE LICENSE AGREEMENT PLEASE READ THIS SOFTWARE LICENSE AGREEMENT (LICENSE) CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU ARE ACCESSING THE SOFTWARE ELECTRONICALLY, SIGNIFY YOUR AGREEMENT TO BE BOUND BY THE TERMS OF THIS LICENSE BY CLICKING THE AGREE/ACCEPT BUTTON. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT USE THE SOFTWARE AND (IF APPLICABLE) RETURN THE SOFTWARE TO THE PLACE WHERE YOU OBTAINED IT FOR A REFUND OR, IF THE SOFTWARE WAS ACCESSED ELECTRONICALLY, CLICK DISAGREE/DECLINE. This license allows the party accepting this license agreement (hereinafter User) to install and use the Product solely on a single computer or on a local area network for use by one user at a time. If you have multiple licenses for the software, you may use as many copies at a time as you have licenses. If users will exceed the number of licenses you must have a reasonable procedure to ensure that the number of users at any one time does not exceed the number of licenses. The Product may not be transferred, sold, assigned, or otherwise conveyed by user to another party without ISIs prior written consent. User may not grant sublicenses, leases, or other rights in the Product to others. ISI Software Rights. The Product and documentation are proprietary Products of ISI, or its licensor(s), and are protected by copyright law. By virtue of this Agreement, user acquires only the non-exclusive right to use the Product and does not acquire any rights of ownership in the Product or the media upon which it is embodied. ISI, or its licensor(s), shall at all times retain all rights, title and interest in the Product and the media. Non-Disclosure; Copies; Alterations. User agrees not to reverse engineer, disassemble, copy or decompile of the Product, nor permit others to use, reverse engineer, disassemble, copy or decompile of the Product, under penalty of license termination, but not exclusive of any other remedies. User may make one machine readable copy of the Product for installation or backup purposes. User may not copy nor allow others to copy the Product for any other purpose. User agrees not to remove any Product identification, copyright notices, or other notices or proprietary restrictions from the Product. User may not copy nor allow others to copy any part of the manuals or other printed material provided with the Product by any means, including data transmission or translation. Limited Warranty. ISI warrants that the software media and documentation are free from defects in materials and workmanship under normal use for ninety (90) days from the date of purchase. If such media or documentation is physically defective, ISI will replace it free of charge or refund the purchase price, at ISIs option, during the 90-day warranty period. This Limited Warranty is void if any damage to the media results from the actions of someone other than ISI. ISI MAKES NO WARRANTY OR REPRESENTATION EITHER EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THIS PRODUCT AND DOCUMENTATION. THIS WARRANTY GIVES THE USER SPECIFIC LEGAL RIGHTS. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. Limitation of Liability. UNDER NO CIRCUMSTANCES SHALL ISI BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING WITHOUT LIMITATION, LOST PROFITS OR REVENUES, INCREASED COSTS OF PRODUCTION OR LOSS OF USE, WHETHER SUCH CLAIMS ARE BASED UNDER FEDERAL LAW, IN CONTRACT, OR TORT, INCLUDING NEGLIGENCE, ACTUAL OR IMPUTED. Export Administration. User agrees to comply fully with all relevant regulations of the United States Department of Commerce and with the United States Export Administration Act to assure that the Product is not exported or re-exported in violation of United States law. Further, user shall not directly or indirectly export or re-export any Products, documentation, or the direct Product thereof without first obtaining ISIs written approved. US Government Restricted Rights. The Product is provided with RESTRICTED RIGHTS, use, duplication or disclosure by the US Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Program Product clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable, Contractor/manufacturer is Innovision Systems, Inc. 3717 Peters Road, Columbiaville, Michigan 48421.
