The End-User License Agreement (hereinafter referred to as 'LICENSE AGREEMENT') is a legal agreement between you (either an individual or a single legal entity) and DoGoodSoft, on the software product of 'Magic Timed Shutdown', including written materials, relevant media, and may include 'online' or electronic documentation (hereinafter referred to as 'SOFTWARE PRODUCT' or 'SOFTWARE'). By installing, copying or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this LICENSE AGREEMENT. If you do not agree to the terms of this LICENSE AGREEMENT, you are not authorized to use the SOFTWARE PRODUCT. The copyright of this SOFTWARE PRODUCT belongs to DoGoodSoft. It is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Therefore, you are not authorized to duplicated this SOFTWARE and attached user manual(s) or other written materials, and you shall not obtain and use the electronic documents, such as the codes, text materials, images, video, music and sound, of this SOFTWARE. The SOFTWARE PRODUCT is licensed, not sold. 1. GRANT OF LICENSE Soft grants you the rights of installing and using the SOFTWARE PRODUCT only on one computer, and reserves the right to take them back at any time. 2. RESTRICTIONS You shall keep the copyright notice on all copies of the SOFTWARE PRODUCT. You can distribute the copies of this SOFTWARE PRODUCT, but you shall not distribute relevant registered user name and registration password. You may not reverse engineer, decompile or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not rent, lease or transfer this SOFTWARE PRODUCT or relevant registered user name and registration password. You shall abide by all laws relevant to the use of the SOFTWARE PRODUCT. 3. TERMINATION If you fail to comply with the terms or conditions of this LICENSE AGREEMENT, DoGoodSoft may terminate this LICENSE AGREEMENT without affecting other rights. When this happens, you must destroy all copies of this SOFTWARE PRODUCT. 4. COPYRIGHT All title and copyrights in and to the SOFTWARE PRODUCT and any copies of the SOFTWARE PRODUCT are owned by DoGoodSoft or its suppliers. All title and copyrights in and to the materials accessed by this SOFTWARE PRODUCT belong to their respective owners and are protected by relevant copyright laws and other intellectual property laws and treaties. This LICENSE AGREEMENT does not authorize you to use the contents of such materials. 5. NO GUARANTY FOR DEFECTS You shall be solely responsible for all losses and risks arising out of your use of this SOFTWARE PRODUCT. To the maximum extent allowed by relevant laws, DoGoodSoft and its suppliers are not responsible for any defect guarantees or conditions, whether expressed or implied, including (but not limited to) implied guarantee responsibilities on fitness for a particular purpose and non-infringement. 6. NO LIABILITY OF COMPENSATION FOR CONSEQUENTIAL DAMAGES To the maximum extent permitted by relevant laws, DoGoodSoft or its suppliers are not responsible for special, consequential, direct or indirect damages (including but not limited to loss of operating profits, business interruption, data loss or other tangible or intangible damages/losses) caused by the use of this SOFTWARE PRODUCT. This provision does not differ whether or not you have informed DoGoodSoft or its suppliers about the possibility that such damages may occur. Under any circumstances, the maximum liabilities of DoGoodSoft or its licensees shall be the purchase price of this SOFTWARE PRODUCT. The above disclaimers and statement of limitations shall apply whether you accept the SOFTWARE PRODUCT or not. 7. ABOUT THE MEDIA OF THE SOFTWARE DoGoodSoft guarantees that, under proper use, the media on which this software is contained is free of defects in materials or workmanship within 90 days after this SOFTWARE PRODUCT is delivered. DoGoodSoft's all liabilities, and the only remedy to you, if there are actually defects found and confirmed on the media, is to change the media for this SOFTWARE PRODUCT. This guarantee does not cover media defects caused by accidents, misuses or improper applications. The warranty period of the changed media will be the remaining days of the original warranty period, or thirty days, which is longer. 8. MISCELLANEOUS This LICENSE AGREEMENT is governed by the laws of China (including Hong Kong, Macao and Taiwan). For any possible lawsuits arising out of this LICENSE AGREEMENT, you agree that the Court of First Instance shall be a local court in Luoyang, China.
