End-User License Agreement This end-user license agreement ("EULA") is a legal agreement concerning the software called "Kairon, Version 3.5" between you - either as an individual or as a legal person and Kairon. The term "software" includes the main programme, the installation packet and all the resulting components, contained media, the documentation, this EULA as well as all updates and supplements to the delivered original software. The term "computer" hereby refers to one or more PCs, laptops, Pocket PCs, Smart-Phones or similar equipment. By installing or otherwise using the software product you agree to accept the terms and conditions of this EULA. If you do not agree to the terms if this EULA, you are not allowed to install or use the software product. If you accept this EULA, Kairon grants you the right to non-exclusive and not transferable use of the software. Licensing and Registration of the Software The software and all its components are licensed (not sold!) as one product. Kairon is solely entitled to issue licenses to use this software. A license is issued by means of a registration number. To acquire a license the software must be registered at Kairon. The licensee is liable to use the issued license(s) according to the agreement. Resale and Rental of the Software You are not entitled to lend, rent or lease the software product to other users, except as part of a permanent transfer. The licensee of the software product is entitled to one permanent transfer to one end-user. This transfer must include all parts of the software product (all parts of components, this EULA, printed material and possibly existing updates). Such a transfer must not be carried out as commission, nor as any other indirect transfer. The recipient of such a unique transfer must agree to the terms of this EULA. Installation and Backups You may install the software on maximally 2 computers for private or professional purpose. You may privately keep a maximum of 5 backups of the installation programme and possible updates. You are not allowed to change or modify the installation programme, except when particularly allowed under the European guideline for the legal protection of computer programmes (1991.05.14). Documentation If this software product contains documentation which is only provided electronically, you may print 5 copies of this documentation. You must not photocopy the additional material to the software product. The documentation were prepared and translated with the the utmost care. Editorial or printing errors cannot be ruled completely. Updates Software working as an update substitutes for and/or supplements to the original product. You may use the respective update only in accordance with the terms of this EULA. You are not allowed to create a new update for the software. Reverse Engineering Structure and code of the software product are a valuable business secret and confidential information by Kairon and their suppliers. You must not disassemble the software product, nor analyse it by means of any other method. You are not allowed to change, adapt nor manipulate the software product in any other way, except where indicated otherwise and in correspondence to the applicable right regardless of this restriction. Support Kairon possibly offer you support relating to the software product. These services are exclusively to the disposal of those users who have a provably legitimately acquired license. Kairon have the right to use the data you provided as part of your support services for business reasons, including support and development of the product. Kairon commit themselves to an exclusively anonymous use of these data. Privacy Policy Kairon only collects data from customers for market analysis and business activities. We do not give out any information to third parties and all data are kept in encrypted files. The use and payment of all services is permitted - if technically possible and reasonable - without specification of any personal data or under specification of anonymous data or an alias. We are not responsible for any contents linked or referred to from our pages - unless we has the full knowledge of illegal contents and would be able to prevent the visitors of our site from viewing those pages. This EULA does not grant you any right to use, change or remove any reference to copyright, trademark or property. Kairon and their suppliers do not provide any express or implied warranty nor guaranty that the trademarks of third parties are not violated. Legal Reservation and Limited Liabilities Kairon reserves all not explicitly granted rights. All information contained in the software is supplied without liability and can be changed without giving any further notice. Data on the internet homepage, packaging, promotion material and similar advertisements are provided for means of information only and do not grant any assurance. The software is provided "as-is" and without any warranty of any kind (express, implied or otherwise), including without limitation any warranty of merchantability or fitness for a particular purpose. Kairon do not guarantee the correctness of calculations nor the perfomance or results achieved by using the software. In no event will Kairon and their suppliers be liable to you for any consequential incidental or special damages, including any lost profits or lost savings, even if such damages have been pointed out to a Kairon representative, or for any claim by any third party. This shall not prejudice the statutory rights of any party dealing as a consumer. As software mistakes and errors of any other kind can never be completely avoided, Kairon is always grateful for any respective comments. If any software mistakes occur, Kairon is eager to correct those as fast as possible. Kairon points out that it is impossible to develop completely bug free software, due to current state of technology. Governing Law and General Provisions This agreement is subject to the laws of the Federal Republic of Austria excluding the application of its conflicts of law rules. This agreement is not subject to the United Nations Convention on Contracts for the International Sale of Goods, the Unified Law on Concluding International Agreements, the Unified Law on International Purchase of Movable Goods and all other laws, regulations and decrees of any state under the rule of law; the application of all the above mentioned treaties and laws is expressly excluded. You agree that the software will not be shipped, transferred or exported into any other country or used in any manner prohibited by the Federal Republic of Austria Export Administration Act or any other export laws, restrictions or regulations. This agreement automatically terminates upon failure by you to comply with its terms. This agreement may only be modified in writing, signed by an authorised executive of Kairon. Safeguard Clause If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of the agreement, which shall remain valid and enforceable according to its terms. The same is true for the closing of open or hidden loopholes in this contract. Termination Without prejudice to any other right, Kairon may terminate this agreement if you fail to comply with the terms and conditions of this EULA. In such event you must uninstall the software from your computer and destroy all copies of the software. This is the entire agreement between you and Kairon concerning the software and the documentation; it supersedes any prior representations, discussions, undertakings, end user license agreements, communications or advertising relating to the software and the documentation.
