IntraWeb Studio License Agreement This is a license agreement between Atozed Computer Software Ltd. ("ATOZED") and you ("User") for IntraWeb Studio ("Software"). YOU MAY ACCEPT THIS LICENSE BY SELECTING THE "I ACCEPT THE TERMS IN THE LICENSE AGREEMENT" OPTION BELOW. YOU MAY REJECT THIS LICENSE, AND TERMINATE THIS INSTALLATION PROCESS, BY SELECTING THE "I DO NOT ACCEPT THE TERMS IN THE LICENSE AGREEMENT" OPTION BELOW. IF YOU DO NOT ACCEPT THIS LICENSE, THEN YOU MAY NOT INSTALL OR USE THE SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THE LICENSE AGREEMENT. Evaluation Restrictions (Applicable to Evaluation Licenses) You are allowed to evaluate the Software and see if it meets your requirements. You are NOT allowed to DEPLOY Web sites or Web applications managed with the evaluation version to production environments. All terms of this license apply where applicable to the evaluation version. You may evaluate the Software for 30 days begining on the day of the initial installation (evaluation period ). The Software may contain code, which forces the Software to stop working when the evaluation period is over. License Keys For each license that you acquire to use the Software, you will be provided with a License Key. The License Key will be accompanied with information specific to the edition of the Software that you have licensed and the number of licenses that you have acquired. In order to activate and use the Software as set forth in this License Agreement, you must follow the instructions that come with the license key. Grant of License ATOZED grants you to use the Software according to the edition specific rules below. You may not rent or lease the software, but you may transfer the software and accompanying written material and this license to another person on a permanent basis provided you retain no copies and the other person agrees to accept the terms and conditions of this agreement. You may make one copy of the software for backup purposes for use on your own computer. The original software must be backed up in unmodified form. THIS SOFTWARE MAY NOT BE DISTRIBUTED, IN MODIFIED OR UNMODIFIED FORM, AS PART OF ANY APPLICATION PROGRAM OR OTHER SOFTWARE THAT IS A LIBRARYTYPE PRODUCT, DEVELOPMENT TOOL OR OPERATING SYSTEM, OR THAT MAY BE COMPETITIVE WITH OR USED IN LIEU OF THE PROGRAM Software, WITHOUT THE EXPRESS WRITTEN PERMISSION OF ATOZED. Personal Edition ATOZED grants you to use IntraWeb Studio Personal free of charge. You may install it on as many computers as you want. Produced pages require the placement of a Powered by IntraWeb Studio logo. The software will force the placement. To use this edition for more than 30 days, you need to obtain a license key, which will be provided free of charge. Desktop Edition ATOZED grants to you, if you are an individual, or, if you are an entity, one (1) designated person in your organization a personal, nonexclusive, nontransferable and limited license to use the IntraWeb Studio Desktop solely for your own internal purposes. This includes the ability to install on multiple computers, as long as the installation is only used by the same single person. In plain English this means you can install this software on your desktop and your laptop so long as you are the only one who uses the software. You may not install on multiple computers for multiple persons to use. You may not network the software or use it on more than a single computer or computer terminal at any time, unless a copy is purchased for each person on the network that will use the software. Professional Edition ATOZED grants you a nonexclusive, nontransferable and limited license to install IntraWeb Studio Professional on one (1) server and to use it with a maximum of three (3) persons in your organization. Enterprise Edition ATOZED grants you a nonexclusive, nontransferable and limited license to install IntraWeb Studio Professional on one (1) server and to use it with an unlimited number of persons in your organization. IntraWeb Studio Client The IntraWeb Studio client is provided free of charge and may be installed on as many computers as you want to connect to any licensed IntraWeb Studio Server. Term This agreement is effective until you terminate it by destroying the software, all copies and backups. It will also terminate if you fail to follow this agreement. You agree upon termination to destroy the software, together with all copies thereof including backups. Copyright The Software is owned by ATOZED and is protected by International laws and treaties. Therefore, you must treat the software like any other copyrighted material. Warranty Clause - Limited Warranty ATOZED warrants that the software will perform substantially in accordance with the accompanying written materials. ATOZED does not warrant that the functions contained in the software will meet your requirements, or any operation of the Software will be uninterrupted or free of errors. Disclaimer of Warranties ATOZED disclaims all other warranties, expressed or implied, including but not limited to implied warranties of merchantability of fitness from particular purpose, with respect to the software and accompanying written materials. ATOZED will have no consequential damages. In no event, shall ATOZED or its suppliers be liable for damages whatsoever, (including without limitation, damages for loss of business profits, business interruption, loss of business information, or any pecuniary loss), arising out of the use or the inability to this Software, even if ATOZED has been advised of the possibility of such damages. Sole Remedy ATOZED holds no liability for remedy. U.S. Government Restricted Rights This software and documentation are provided with restrictive rights. Use, duplication or disclosure by the Government is subject to restrictions set forth in Section c(1)(ii) of the Rights and Technical Data in Computer software clause at 52.227-7013.
