GarbageClean - End User License Agreement READ THESE TERMS CAREFULLY BEFORE CLICKING ON "I AGREE" BUTTON. THESE ACTIONS CONSTITUTE AN ACKNOWLEDGEMENT THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS. GarbageClean LLC ("GarbageClean") offers to license to you ("You") the GarbageClean software (including documentation) ("Software'), subject to the terms and conditions of this License Agreement (the "Agreement"). By downloading,installing and running the Software, You agree to be bound by the following terms and conditions of this Agreement. In this Agreement, "You" means you as an individual if you will download, install and run this Software for personal or individual or business purposes. If You are acquiring the Software on behalf of Your company or organization (collectively "Company"), by accepting this agreement You also represent that You are duly authorized to represent Your Company, and You accept the terms and conditions of this Agreement on behalf of Your Company. If You or Your Company do not agree to the terms and conditions of this Agreement click the "I DISAGREE" button and do not install or use the Software. If, for technical or other reasons, You are prompted to accept a different license agreement during the process of installing or downloading the Software, by clicking an "I Agree" button, You shall be deemed merely to confirm the terms and conditions of this Agreement. 1. OWNERSHIP. The Software is protected by trade secret and copyright laws and international treaty provisions. You acknowledge that the Software is free to try, not sold, and that no title to the Software or any intellectual property therein is transferred to You and all rights, title, interest and ownership rights in and to the Software will remain the exclusive property of GarbageClean (or its licensors). You do not acquire any rights to the Software except as expressly set forth in this Agreement. To the extent legally permissible, You agree that You will not attempt to rent, lease, sub-license, loan, auction, deal in, modify, create derivative works of, adapt, merge, translate, reverse compile, de-compile, or disassemble the Software, in whole or in part, use the Software to provide services to third parties, or authorize others to do any of the foregoing. You also agree to not remove, obscure, or alter GarbageClean's or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Software. All rights reserved. 2. TERMINATION. GarbageClean may terminate the license at any time for any reason or no reason. The licenses granted pursuant to this Agreement automatically terminate upon a breach of any provision of this Agreement by You. Upon termination of this Agreement, the licenses and rights granted hereunder to You shall immediately terminate and You must cease using the Software, erase and remove the Software from Your system. 3. REPORTS. During the course of this software usage, GarbageClean client software sends a report of malicious files hash, computer name, email address and locale-id to GarbageClean web Service for online reporting purpose. By accepting this Agreement, You agree to by accepting this Agreement, You consent to having certain limited personal data stored outside the country where You are located and/or in jurisdictions where privacy laws may not be as stringent as those in your own country. 4. CAUTION AND ACKNOWLEDGEMENT. The Software is designed to identify and remove different types of files, operating system changes, registry or browser settings, which, in GarbageClean's judgment, may compromise computer security, including adware, spyware, keyloggers, trojans, worms, cookies and other items. You acknowledge that use of the Software may remove or disable other software, including software that may or may not be "spyware," or change settings on Your computer. You agree that GarbageClean shall not be responsible for such removal or disabling or the results of such removal or disabling. You are solely responsible for selecting which files or settings the Software removes from Your computer. While GarbageClean uses reasonable efforts to properly identify those products or settings detected by the Software, and regularly updates its list of such products or settings, GarbageClean cannot guarantee that its list is complete or completely accurate. Because new and/or modified "spyware" and other software are regularly introduced, You must routinely download Updates from GarbageClean's Web site to ensure the most effective operation of the Software. 5. DISCLAIMER OF WARRANTIES. NEITHER GarbageClean NOR ITS SUPPLIERS WARRANT THAT THE USE OF SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE OR THAT USE OF THE SOFTWARE WILL KEEP YOUR NETWORK OR COMPUTER SYSTEMS FREE FROM ALL UNWANTED SPYWARE. EXCEPT FOR THE LIMITED WARRANTY BELOW and to the extent permitted by applicable law, GarbageClean AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. THE SOFTWARE AND ANY THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE SOFTWARE ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. TO THE FULLEST EXTENT PERMITTED BY LAW GarbageClean AND SUCH THIRD PARTIES EXPRESSLY DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. GarbageClean AND ANY THIRD PARTY WHO MAKES ITS SOFTWARE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE SOFTWARE DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF SOFTWARE AND SUCH THIRD PARTY SOFTWARE. YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD AND/OR USE THE SOFTWARE AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE SOFTWARE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY RE-RUN TIME, INACCURATE OUTPUT, WORK DELAYS, LOST PROFITS, LOSS OF DATA OR DAMAGES TO YOUR COMPUTER SYSTEM THAT RESULT FROM THE DOWNLOAD OR USE OF SOFTWARE AND SUCH THIRD PARTY SOFTWARE OR ANY PORTION THEREOF. 6. LIMITATION OF LIABILITY. to the extent permitted by applicable law, IN NO EVENT SHALL GarbageClean OR ITS SUPPLIERS BE LIABLE TO YOU FOR USE OR MISUSE OF THE SOFTWARE. THIS LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF ANY DIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THIS AGREEMENT OR THE DELIVERY, PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF GarbageClean HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES and REGARDLESS OF THE NATURE OF THE CAUSE OF ACTION OR THEORY ASSERTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THE ABOVE DISCLAIMERS OF WARRANTIES AND LIMITS ON LIABILITIES MAY NOT FULLY APPLY TO YOU. YOU MAY HAVE ADDITIONAL RIGHTS AND REMEDIES that MAY VARY FROM JURISDICTION TO JURISDICTION. SUCH POTENTIAL RIGHTS OR REMEDIES, IF ANY, SHALL NOT BE AFFECTED BY the terms and conditions of this agreement. 7. COMPLIANCE WITH ALL LAWS, EXPORT CONTROL. Both parties shall comply with all applicable laws including but not limited to the export control laws of the United States. You shall not export nor re-export the Software or any confidential information related thereto without the appropriate United States and foreign government licenses, and You are responsible for any violation of such export control laws. By accepting this Agreement, You confirm that You are not a resident or citizen of any country currently embargoed by the U.S. A list of embargoed countries is available at the official Web site of the Office of Foreign Assets Control of the U.S. Department of the Treasury at http://www.treas.gov/ofac/. 8. GENERAL PROVISIONS. This Agreement will be governed by and construed in accordance with the laws of the State of Washington, without giving effect to the conflict of laws provisions of Washington or Your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, the remainder of this Agreement will continue in full force and effect. This Agreement constitute the entire agreement between You and GarbageClean with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by GarbageClean and/or a third party who make its software available in conjunction with or through the Software.
