SOFTWARE LICENSE AGREEMENT READ CAREFULLY: EXACTCAM, INC. LICENSES THIS SOFTWARE TO YOU ONLY UPON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS SOFTWARE LICENSE AGREEMENT (AGREEMENT). BY SELECTING THE I ACCEPT BUTTON AT THE END OF THIS AGREEMENT OR BY COPYING, INSTALLING, UPLOADING, ACCESSING OR USING ALL OR ANY PORTION OF THE SOFTWARE YOU AGREE TO ENTER INTO THIS AGREEMENT. A CONTRACT IS THEN FORMED BETWEEN EXACTCAM AND EITHER YOU PERSONALLY, IF YOU ACQUIRE THE SOFTWARE FOR YOURSELF, OR THE COMPANY OR OTHER LEGAL ENTITY FOR WHICH YOU ARE ACQUIRING THE SOFTWARE. IF YOU DO NOT AGREE OR DO NOT WISH TO BIND YOURSELF OR THE ENTITY YOU REPRESENT: (A) DO NOT COPY, INSTALL, UPLOAD, ACCESS OR USE THE SOFTWARE; (B) SELECT I REJECT AT THE END OF THIS AGREEMENT (WHICH WILL CANCEL THE LOADING OF THE SOFTWARE); AND (C) WITHIN THIRTY (30) DAYS FROM THE DATE OF ACQUISITION, RETURN THE SOFTWARE TO THE LOCATION WHERE YOU ACQUIRED IT FOR A REFUND. COPYING OR USE OF THIS SOFTWARE OR ANY ACCOMPANYING DOCUMENTATION EXCEPT AS PERMITTED BY AGREEMENT IS UNAUTHORIZED AND CONSTITUTES A MATERIAL BREACH OF THIS AGREEMENT AND AN INFRINGEMENT OF THE COPYRIGHT AND OTHER INTELLECTUAL PROPERTY RIGHTS IN SUCH SOFTWARE AND DOCUMENTATION. IF YOU COPY OR USE ALL OR ANY PORTION OF THIS SOFTWARE OR ITS USER DOCUMENTATION WITHOUT ENTERING INTO THIS AGREEMENT OR OTHERWISE OBTAINING WRITTEN PERMISSION OF EXACTCAM, YOU ARE VIOLATING COPYRIGHT AND OTHER INTELLECTUAL PROPERTY LAW. YOU MAY BE LIABLE TO EXACTCAM AND ITS LICENSORS FOR DAMAGES, AND YOU MAY BE SUBJECT TO CRIMINAL PENALTIES. 1. LICENSE The license granted hereunder authorizes you to: a) use the Program on the machine designated by the assigned security code; b) use the Program Materials in support of your use of the Program authorized under this License Agreement; c) make a single backup copy of the software product. You may use the backup copy solely for archival purposes. d) use the Program in your normal business of computer-aided design and manufacturing. You agree not to use the Program to perform competitive analyses for any third party. In addition, you agree not to seek or discover or to disclose any of Licensor's confidential information by disassembling, decompiling or otherwise reverse engineering the Program. 2. USE The Program and any copies thereof can be interpreted in the designated machine only and not in any other machine. You acknowledge that Licensor is the Owner of the Program and that a separate license is required for each machine on which the Program can be used. YOU MAY NOT USE, COPY, MODIFY OR TRANSFER THE PROGRAM OR PROGRAM MATERIALS, OR ANY COPY MODIFICATION OR MERGED PORTION, IN WHOLE OR IN PART EXCEPT AS EXPRESSLY PROVIDED FOR IN THIS LICENSE AGREEMENT. You may not alter, modify, reverse engineer, decompile, or disassemble the software product, or create derivative works. Removal, emulation or reverse-engineering of all or any part the Program or protection device constitutes an unauthorized modification to the Program and is specifically prohibited. Nothing in this license statement permits you to derive the source or assembly code of files that are provided to you in executable or object forms. 3. LIMITED WARRANTY DISCLAIMER OF LIABILITY a) If you find physical defects in the media on which Software is distributed, we will replace the media at no charge, provided you return the item to be replaced, with proof of payment within 30 days after you receive the Software. b) Licensor does not warrant that the operation of the Program will be uninterrupted or error free. c) Although we have tested the software and reviewed it thoroughly, we make no warranty or representation, either explicit or implied, with respect to this software, its quality, performance, merchantability or fitness for a particular purpose. This software and documentation is provided AS IS and you the licensee assume the entire risk as to the quality and performance, and the cost of all necessary servicing, repair or correction. In no event shall we be responsible for any direct, indirect, incidental, collateral, exemplary, consequential or special damages or losses arising out of the use or inability to use the software, even if advised of the possibility of such damages. In particular we shall have no liability for any programs or data stored or used with the software, including the cost of recovering such programs or data. None of our agents or representatives are authorized to make any modification or addition to this warranty. 4. PATENT AND COPYRIGHT INDEMNITY a) Licensor represents that a part of all of the Program is copyrighted and that the Program, together with all copies, translations, compilations, partial copies with modifications, and updated works are the property of Licensor. b) You will not make the Program or the Program Materials available to any person beyond the express authorizations set out in this License, and you will take appropriate action, by instruction, agreement, or otherwise with persons permitted access to the Program and the Program Materials so as to enable you to satisfy your obligations to protect the Program and Program Materials from any use not authorized under this License. 5. REMEDIES AND LIMITATIONS OF REMEDIES a) Your sole remedy with respect to any breach of warranty for the media supplied under this license is the replacement of such media determined to be defective upon its return to Licensor. b) No replacement will be made unless it is clear that the defect occurred during the thirty (30) day warranty period. c) THE FOREGOING REMEDY IS THE EXCLUSIVE REMEDY FOR ANY BREACH OF WARRANTY. IN THE EVENT THAT LICENSOR DETERMINES THAT IT IS NOT ABLE TO FURNISH MEDIA WHICH IS FREE OF DEFECTS, YOUR SOLE AND EXCLUSIVE REMEDY IN CONTRACT, TORT OR OTHERWISE IS THE RETURN OF THE LICENSE FEES PAID BY YOU TO THE DATE OF SUCH DETERMINATION. 6. LIMITATION OF LIABILITY IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF USE, REVENUE, OR PROFIT, WHICH YOU MAY ASSERT YOU HAVE SUFFERED BECAUSE OF ANY ALLEGED FAILURE OF THE PROGRAM TO MEET YOUR REQUIREMENTS, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. 7. COMPLETE AGREEMENT This License Agreement contains all of the terms applicable to its subject matter and supersedes all prior agreements.
