This license statement and limited warranty constitutes a legal agreement ("License Agreement") between you ("Licensee", either as an individual or a single entity) and OfficeOptimum.Com ("Vendor"), for this Software ("Software") being provided to you by OfficeOptimum.Com which is the copyright holder. After accepting this license agreement, the Licensee is permitted to use the Software under the terms of this agreement for no more than thirty (30) days, and for evaluation purposes only, without payment to the Vendor. If the Licensee wishes to use the software for more than thirty (30) days and/or for purposes other than evaluating the Software, the Licensee must purchase a single machine license or a multi-machine license from the Vendor 1.DEFINITIONS The Software is licensed, not sold, to Licensee by Vendor. All Software copyright, trade secret, patent and other proprietary rights belong to the Vendor. 2.LICENSE a. Authorized Use. Vendor grants the Licensee a non-exclusive license to use the number of licensed copies of the Software on the terms of use stated hereunder. b. Restrictions. The Licensee may not: reverse engineer, decompile, disassemble, modify or prepare derivative works of the Software. The Licensee agree to use their best efforts to prevent and protect the contents of the Software from unauthorized disclosure or use. c. Terms and Conditions of Use. The Licensee may use the Software subject to the following terms and conditions: c1 Evaluation (Trial) Version. The Licensee is hereby licensed to freely copy and distribute the Software by any means, provided all files and documentation are included without modification. c2 Registered Version. One registered copy may either be used by a single person on one or more computers, or installed on a single workstation used non-simultaneously by multiple people, but not both. The Licensee may not copy (other than for back-up purposes), redistribute, rent, lease or sublicense all or any portion of the Software or otherwise utilize the Software for any purposes for which permission has not been explicitly granted by the Vendor. The Licensee may transfer the Software, but only if the recipient agrees to accept the terms and conditions of this Agreement. If the licensee transfers the Software, the Licensee must transfer all computer programs and documentation and erase any copies residing on the Licensee computer equipment. This License is automatically terminated if the Licensee transfers the Software. c3 The Licensee is specifically prohibited from charging, or requesting donations for the Software and from distributing the Software and/or documentation with other products (commercial or otherwise) without prior written permission by the Vendor. 3.DISCLAIMER OF WARRANTY Although efforts have been made to assure that the Software is correct, reliable, technically accurate and will perform in accordance with the documentation, the Software is licensed to Licensee as is and without warranties as to performance, merchantability or fitness for a particular purpose or use, or any other warranties whether expressed or implied. The Vendor does not warrant that the Software will operate error free, or that any defects or errors in the Software will be corrected. Licensee, and any transferees, must assume the entire risk of using the Software. Should the Software prove defective, the Licensee and not the Vendor, shall bear the whole cost of any repairs, service, consulting, and/or correction measures. The Software is not designed or intended to be used in any activity that may cause personal injury, death or any other severe damage or loss. In no event shall the Vendor be liable for any consequential, special, incidental or indirect damages of any kind arising out of the delivery, performance or use of this Software. ANY LIABILITY OF THE VENDOR WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE. 4.TERMINATION This Agreement is effective until terminated. The Licensee may terminate it at any time by destroying the Software, including all computer programs and documentation, all license codes and erasing any copies residing on computer equipment. This Agreement also will terminate if the Licensee does not comply with any terms or conditions of this Agreement. Upon such termination the Licensee agrees to destroy the Software and erase all copies residing on computer equipment.
