Installing this software implies that you agree to the terms of this agreement. If you disagree with any part of this license agreement, you must erase this software. 2. Restrictions This Agreement permits you to install and use one (1) copy of the CRISOL MIND software program (the "SOFTWARE") provided that each such copy is used only on one (1) computer. YOU MAY NOT MODIFY, ADAPT, TRANSLATE, RENT, LEASE, LOAN, SELL, REQUEST DONATIONS OR CREATE DERIVATE WORKS BASED UPON THE SOFTWARE OR ANY PART THEREOF. The Software contains trade secrets and to protect them you may not decompile, reverse engineer, disassemble or otherwise reduce the Software to a humanly perceivable form. You agree not to divulge, directly or indirectly, until such trade secrets cease to be confidential, for any reason not your own fault. You acknowledge that CRISOL MIND may, but is under no obligation to, from time to time provide you with additional features, functions, patches, plug-ins, service packs, updates or other similar files related to this Product (Updates). These updates could have some cost. You further acknowledge and accept that CRISOL MIND need not provides you with advance notice of the installation of any such Updates. You hereby acknowledge and consent to CRISOL MIND: monitoring your Use of the Product, authenticating and periodically verifying your licensing rights in the Product. 3.- CRISOL MIND Products Registration This Product requires mandatory registration, your License and ability to Use this Product is contingent upon you successfully completing the registration process and providing CRISOL MIND with accurate information as required by such process; If you fail to activate or register a Product which requires mandatory activation or registration in the amount of time specified in the Product, you will be unable to Use this Product and your License to Use the Product shall be suspended until such time as you promptly complete the activation and/or registration process. Any attempt to circumvent the activation or registration technology or other mechanism contained within the Product is a violation of this License and shall result in the automatic and immediate termination of your License to Use the Product. 4.- Product boundaries We recommend one licensed product to be used by one teacher. In this regard, CRISOL MIND Exam Writer 2010 has defined the exams' amount to be used by a standard teacher in a monthly basis. Studying the real quantity of work of experienced teachers in the different educative levels, this quantity of exams has been settled in 30 different written exams per month. However, CRISOL MIND is not responsible than its use be affected by, our internet service providers, the customer internet service provider or the version changes made for the builder of the software used on the computer equipment customer. Compliance with Licenses. If you are a business, company, organization or educational institution, you agree that, no more than once every 12 months, CRISOL MIND or its authorized representative shall, upon 5 days' prior notice to you, have the right to inspect your records, systems, and facilities to verify that your use of any and all CRISOL MIND software is in conformity with your valid licenses from CRISOL MIND. If a verification discloses that your use is not in conformity with a valid license, you shall immediately obtain valid licenses to bring your use into conformity. 10.- Demo or Trial Version The Software identified as "Demo or Trial Version" may only be used for the purposes of demonstration, test o evaluation, irrespective of the other terms of the present license. You agree that the Software has limited functionality and is intended only for acquaintance with the Software. 11.- Technical Support We provide free technical support about the CRISOL MIND products to our users via email, we do not provide phone support, all this because our experience show us that in the time that it takes to talk over one support doubt-or-issue on the phone, we can resolve several via email. Additionally, to all the information posted in our FAQ section, we have guides and documents to email replies that will answer all the questions of our users. We can send these in a very expeditious way to a lot of users, in seconds. The same support via telephone would require much more time involved of our customers and our specialists. To get technical support, CRISOL MIND will require information concerning your system parameters (CRISOL MIND product version you are using, license serial number, activation code, your PC Configuration, Windows Version and so on), and standard personal data (email, name) 12.- Copyright notice The Software is Copyright () 2010 by CRISOL MIND S. All other trademarks mentioned in the software and associated manuals and files are trademarks or registered trademarks of their respective owners. Use of any CRISOL MIND trademark is subject to CRISOL MIND's express written approval. 14.- No Warranty THE SOFTWARE IS BEING DELIVERED TO YOU "AS IS" AND LICENSOR AND ITS SUPPLIERS MAKE NO WARRANTY AS TO ITS USE OR PERFORMANCE. LICENSOR AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE. When terminating the license agreement, you are bound to stop any use of the Software and uninstall the Software and destroy all of your copies and the components by means that prevent its further use. The Intellectual Property Rights, Limited Warranty, Disclaimer and Limitation of Liability provision shall continue in force even after any termination. 16.- Governing Law All rights of any kind in the Software which are not expressly granted in this Agreement are entirely and exclusively reserved to and by CRISOL MIND. This Agreement shall be governed by the laws of the State of Nuevo Len, Mxico. Exclusive jurisdiction and venue for all matters relating to this Agreement shall be in courts and fora located in the State of Nuevo Len, Mxico, and you consent to such jurisdiction and venue. This agreement contains the entire Agreement between the parties hereto with respect to the subject matter hereof, and supersedes all prior agreements and/or understandings (oral or written). Failure or delay by CRISOL MIND in enforcing any right or provision hereof shall not be deemed a waiver of such provision or right with respect to the instant or any subsequent breach. If any provision of this Agreement shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible and the remaining provisions of this Agreement will remain in force and effect. 17.- Acknowledgement YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US THAT SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
