By installing or using the software that accompanies this EULA ("Software"), you agree to the terms of this EULA. If you do not agree, do not install nor use the Software. All Software offered by The Hanalei Company (including those Softwares freely offered to support services offered by The Hanalei Company ) are licensed, not sold. As the end user of any Software offered by The Hanalei Company , you may make unlimited copies of said Software freely so long as the Software is an exact copy of the original Software and is accompanied with this end user license agreement. Additionally, you may freely distribute said copies so long as they include this EULA, they are not altered in any way, and you receive no compensation save a nominal fee for reasonable costs involved in the reproduction of the Software (e.g.- writng the software to a CD). This EULA gives you, the end user, the right to install and run on one server one copy of the Software. Each Software's service component installed requires a license of its own. The Hanalei Company reserves the right to discontinue any services, products, or support it may provide or makes available, at any time and for any reason, without any notice, prior or otherwise. When accompanied with a site license, this EULA gives you, the end user, the right to install and run on any number of servers, one copy of the Software on each server, so long as all of the servers that are governed by the site license are owned by a single business, government, or personal entity. That entity is the owner of the site license. Export You, the end user, agree not to use any Softwares or services offered by The Hanalei Company for criminal activities, nor to support nor give aid or comfort to criminals nor terrorists. Furthermore, you, the end user, agree not to give any Software that includes encryption components to any entity (e.g.- government, business, organization, person, etc.) that intends or expresses interest to use the Software for terrorist activities, for the development, manufacturing, or deployment of nuclear, chemical, or biological weapons, missiles or missile technologies. You acknowledge that the Software is subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by the U.S. government. Transfer and Termination You may install and later move the Software on or to any server so long as each instance of installation has its own license. This includes transfers to third party servers. Specifically, a Software license can be moved from one server to another, but not replicated. Without prejudice to any other rights, The Hanalei Company may terminate this agreement if you are not in compliance with all the terms and conditions of this agreement. In such event, you must destroy all copies of the Software and all of its component parts. DUE DELIGENCE YOU AGREE TO PERFORM DUE DELIGENCE TESTING ON THE SOFTWARE TO DETERMINE WITH CERTAINTY IF THE SOFTWARE WILL PERFORM AS YOU REQUIRE TO YOUR SATISFACTION PRIOR TO DEPLOYING THE SOFTWARE FOR THE USE FOR WHICH YOU PURCHASED THE PRODUCT LICENSE. Damages and Remedies You agree to use the Software at your own risk without any remedies from The Hanalei Company for any damages or losses of any kind, consequential or otherwise. The Hanalei Company does not warrant that the Software will produce the desired results for which its license is purchased, particularly with regard to disaster recovery, since a significant portion of the recovery process is based upon end user definition and implementation of a backup and recovery protocol, which itself is external and extraneous to the Software as a whole. You agree to hold The Hanalei Company harmless and without any recourse for monetary damages you may incur, real or imagined, by using the Software. You agree that under no circumstances are you elgible for any damages, including but not limited to consequential damages, if the Software does not perform as you might have expected. The Hanalei Company and its suppliers provide the Software and support services (if any) AS IS AND WITH ALL FAULTS, and hereby disclaim all other warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) implied warranties, duties or conditions of merchantability, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of lack of negligence, all with regard to the Software, and the provision of or failure to provide support or other services, information, software, and related content through the Software or otherwise arising out of the use of the Software. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE HANALEI COMPANY OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION, STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF THE HANALEI COMPANY OR ANY SUPPLIER, AND EVEN IF THE HANALEI COMPANY OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIMITATION OF LIABILITY AND REMEDIES NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED HEREIN AND ALL DIRECT OR GENERAL DAMAGES IN CONTRACT OR ANYTHING ELSE), THE ENTIRE LIABILITY OF THE HANALEI COMPANY AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THIS EULA AND YOUR EXCLUSIVE REMEDY HEREUNDER (EXCEPT FOR ANY REMEDY OF REPAIR OR REPLACEMENT ELECTED BY THE HANALEI COMPANY WITH RESPECT TO ANY BREACH OF THE LIMITED WARRANTY) SHALL BE LIMITED TO THE GREATER OF THE ACTUAL DAMAGES YOU INCUR IN REASONABLE RELIANCE ON THE SOFTWARE UP TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE OR US$5.00. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. Applicable Law This EULA is governed by the laws of the State of Hawaii. Entire Agreement; Severability This EULA (including any addendum or amendment to this EULA which is included with the Software) are the entire agreement between you and The Hanalei Company relating to the Software and the Support Services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA. To the extent the terms of any policies or programs of The Hanalei Company for support services conflict with the terms of this EULA, the terms of this EULA shall control unless the parties otherwise agree in writing. If any provision of this EULA is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
