END USER LICENSE AGREEMENT IMPORTANT-READ CAREFULLY: This End User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Ciclo Ltd for the Software Product identified above. By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, copy, or otherwise use the Software Product. 1) LICENSE GRANT Ciclo grants you a non-transferable, non-exclusive license to use the Product in accordance with the terms of this EULA. The copyright and all other rights to the Product shall remain with Ciclo or its licensors. 2) LICENSE PARAMETERS This grant of license is subject to the License Parameters defined as follows: 2.1) STANDALONE - COMMERCIAL LICENSE: You may install and access one (1) copy of the Product on one (1) individual computer, which may not be connected to a network in a manner that allows more than one (1) user to access, upload, operate, view or otherwise create or use a copy of the Product. This license must be purchased and you must be a Registered User, thus the product may be used for commercial, professional, or for-profit purposes. 2.2) STANDALONE - LEARNING LICENSE: You may install and access one (1) copy of the Product on one (1) individual computer, which may not be connected to a network in a manner that allows more than one (1) user to access, upload, operate, view or otherwise create or use a copy of the Product. This license is granted only for educational purposes and for no other purpose, may not be used for commercial, professional, or for-profit purposes. To use the Product with this license you must be a Registered User identified as "Qualified Educational User". 2.3) STANDALONE - EVALUATION LICENSE (UNREGISTERED): You may install and access one (1) copy of the Product on one (1) individual computer, which may not be connected to a network in a manner that allows more than one (1) user to access, upload, operate, view or otherwise create or use a copy of the Product. This license is granted only for the purpose of commercial evaluation and demonstration, and you need not be a Registered User, although the Product contains functionality limitations. 3) LICENSE TERM Subject to the terms and conditions of this EULA, the license to use the Product is perpetual. You may terminate it at any time by destroying the Product, together with all copies thereof. This License will terminate immediately without notice from Ciclo if you fail to comply with any provision of this EULA. Upon such termination, you agree to destroy the Product, together with all copies thereof. 4) PERMITTED ACTIONS a) Install, access and use the Product in accordance with the scope of the License Parameters defined in section 2. b) Make one copy of the Product solely for archive or backup purposes. 5) PROHIBITED ACTIONS a) Install, access or otherwise copy or use the Product except as expressly authorized by this EULA. b) Install, access or allow the installation or access of the Product over a network server, web hosting or any similar system. c) Rent, lease, assign, sell, sublicense, lend or otherwise transfer all or any portion of the Product, or any rights granted in this EULA. d) Modify or adapt the Product, or merge all or any part of the Product with another program. e) Remove, alter, or obscure any proprietary notices, trademarks, or copyright notices from the Product. f) Reverse engineer, decompile, or disassemble the Product. 6) RESTRICTIONS After the registration of the Product, the license cannot be transferred to another computer. Only the computer used to register the Product is licensed to run the Product. 7) COPYRIGHT The Product is protected by copyright laws and other intellectual property laws and treaties. All title, copyrights and intellectual property rights in and to the Product, are owned by Ciclo or its licensors. The Product is licensed, not sold. 8) DISCLAIMER OF WARRANTY The Product is distributed and provided "as is" without warranty of any kind, whether express or implied, including, without limitation, any warranty of merchantability or fitness for a particular purpose. Ciclo does not warrant that the operation of the Product will be uninterrupted or error-free. Ciclo is not responsible for problems caused by changes in the operating characteristics of the hardware or operating system software, nor for problems in the interaction of the Product with any other software. 9) WARNINGS Computer-aided design software and other technical software are tools intended to be used by trained professionals only. They are intended to assist with product design. Ciclo shall not be liable in any manner whatsoever for the results obtained through the use of the software. Persons using the software are responsible for the supervision, management and control of the product design. 10) LIMITATION OF LIABILITY In no event shall Ciclo or its suppliers have any liability for any incidental, special, direct, indirect, or consequential damages, loss of profits, revenue, data, or cost of cover. In addition, in no event shall the liability of Ciclo or its suppliers for any damages arising out of or in connection with the Product or this EULA exceed the amount paid or payable by you for the Product. The limitations of liability shall apply to any damages, however caused and regardless of the theory of liability, whether derived from contract, tort (including, but not limited to, negligence), or otherwise, even if Ciclo has been advised of the possibility of such damages. 11) RESERVATION OF RIGHTS Ciclo reserve all rights not expressly granted to you in this EULA. 12) GOVERNING LAW AND JURISDICTION This EULA shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. The parties agree that any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction and venue of Campinas, SP, Brazil.
