LICENSE AGREEMENT for Software developed by Inesoft, Inc. This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Inesoft, Inc. (Inesoft) for the product accompanying this Agreement, which includes computer software and printed materials. By exercising your rights to make and use copies of the Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this agreement, do not install this SOFTWARE. User's use of this SOFTWARE is conditioned upon compliance by user with the terms of this agreement. 1. GRANT OF LICENSE. Inesoft retain exclusive ownership of the SOFTWARE and grants to you a personal, non-exclusive license to use the number of copies of the SOFTWARE equal to the number of licenses you have purchased. This Agreement grants you the following rights: Installation and Use (storing, loading, installing and executing the SOFTWARE). You may install and use a single copy of the Product. When you first install a copy of the SOFTWARE, you are granted an evaluation period of not more than 25 days, after which time you must pay for the SOFTWARE according to the terms and prices discussed in the SOFTWARE's documentation, or you must remove the SOFTWARE from your computer. You agree not to modify the SOFTWARE and its parts and agree not to remove, alter or obscure proprietary notices of Inesoft or its suppliers. Without prejudice to any other rights, Inesoft may terminate this Agreement if you fail to comply with all the terms and conditions of this Agreement. In such event, you must destroy all the Product. 2. COPYRIGHT. The Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Product is licensed, not sold. The Product is licensed as a single product. Its component parts may not be separated for use on more than one computer. 3. LIMITED WARRANTY. Inesoft disclaims any warranty for the Product. The Product and documentation is provided "as is" without warranty of any kind, either express or forbidden, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. 4. LIMITATION OF LIABILITY In no event shall Inesoft or its suppliers be liable to you for any consequential, special, incidental, or indirect damages of any kind arising out of the delivery, performance, or use of the software (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INFORMATION OR ANY OTHER PECUNIARY LOSS) even if Inesoft has been advised of the possibility of such damages. Inesoft's LIABILITY ARISING OUT OF THIS AGREEMENT AND/OR YOUR USE OR POSSESSION OF THE SOFTWARE, INCLUDING WITHOUT LIMITATION ANY AND ALL CLAIMS COMBINED, WILL NOT EXCEED THE AMOUNT OF THE LICENSE FEE FOR THE SOFTWARE PROVIDED UNDER THIS AGREEMENT. 4. COMPLETE AGREEMENT. This is the entire agreement between you and Inesoft, which supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this license. Inesoft, Inc.
