NOTICE TO USER BY RECEIVING AND/OR USING THIS ACD SYSTEMS OF AMERICA, INC. (ACD) PRODUCT YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. THIS AGREEMENT IS A BINDING LEGAL AGREEMENT BETWEEN ACD AND THE PURCHASERS, USERS OR EVALUATORS (YOU) OF THIS PRODUCT. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, REMOVE THIS PRODUCT FROM YOUR COMPUTER NOW AND, IF APPLICABLE, PROMPTLY RETURN TO ACD BY MAIL ANY COPIES OF THIS PRODUCT AND RELATED DOCUMENTATION AND PACKAGING IN YOUR POSSESSION. 1. Definitions (a) ACD means ACD Systems of America, Inc., a Florida Corporation. (b) Backup Copy means one non-transferable copy of this Product created for archival purposes only that is not installed or Used on any computer or workstation (or number of users covered in a multi-user or site license) except for back-up use during emergency situations. (c) Clip Art means all art, symbols, templates, and photos included in this package. (d) Evaluation Version means that You may evaluate the Evaluation Version of this Product without purchasing a license for a maximum of thirty (30) calendar days (the "Evaluation Period"). ACD reserves the right to extend the Evaluation Period at its sole discretion. (e) Fonts means all font software included in this package. (f) Product means all Software, Fonts, Clip Art, manuals, other related documentation program that accompanies this Agreement and any available software user manuals, reference manuals and installation guides or portions thereof, either in electronic or printed form, in any media whatsoever as well as all future related updates supplied by ACD. (g) "Software" means the software program that accompanies this Agreement, as well as all future related updates supplied by ACD. (h) Use of this Software means that You have loaded, installed, or run this Product on a computer or similar device. 2. License - Subject to the terms of this Agreement, ACD grants to You a limited, non-exclusive, non-transferable worldwide license to Use or evaluate the Product in accordance with this Agreement and any other written agreement with ACD. ACD does not transfer title to this Product to You; the license granted to You is not a sale. This license is granted based on the following: (a) Installation and Use You are responsible for installation of this Product. Your license to Use this Product is limited to the number of licenses purchased by You. (b) Back Up Copy - You may make one copy of the Software in machine-readable form for archival backup purposes only. As an express condition of this permitted Use, You must reproduce on each backup copy any copyright notice or other proprietary notice that is on the original copy supplied by ACD. (c) This license is not transferable and cannot be sublicensed, without the written consent of ACD. (d) You may Use the Fonts on the number of printers equal to the number of Product licenses purchased by You. A printer includes any output device such as, but not limited to, dot matrix, ink jet or laser printers, film recorders and image-setters. When using an outside company for printing or reproduction services, one copy of the Fonts may accompany the document in which the Fonts have been used. You must require company remove copy of the Fonts from companys storage media upon completion of the service. (e) You have the right to use, modify, and include Clip Art as illustrative or decorative material that is included as part of a total original graphic of your own design for use in print, film or computer media communications. (f) Evaluation Version Use -You may evaluate this Product without purchasing a license (the Evaluation Version) for a maximum of 30 days (the Evaluation Period). On or before the expiration of the Evaluation Period, You must purchase a license from ACD (or an authorized reseller or distributor) in order to continue to use this Product, or You are required to remove this Product and any Back-Up Copy from Your computer immediately following the expiration of the Evaluation Period. For more information about purchasing a license to use this Product, please contact ACD Customer Service. (g) Activation of Software Once You have purchased a license from ACD, in order to continue to use the Software, You may be required to activate the Software through the Internet. There are technological measures within the Software that are designed to prevent unlicensed use of the Software. ACD will use those measures to confirm You have a valid licensed copy of the Software. ACD will not collect any personally identifiable information from Your computer location or workstation during this process. 3. Portable Computer Use If You have purchased a license to use this Product and installed it on Your desktop computer, You may install a second copy of this Product on Your portable computer for Your exclusive use only. 4. Restrictions (a) The assignment, sublicense, sale, or distribution of copies of this Product is strictly forbidden without the prior written consent of ACD. It is a violation of this Agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the Use of this Product. You may not make copies of the Product unless authorized herein. You should be aware that it is unlawful to copy, reproduce, or transmit any part of the Product in any form or by any means (including translation to another language, computer language, or format). You are permitted to write the contents of the Software into the machine memory of your computer so that the Product can be operated. (b) You are not permitted to give, lend, distribute, or offer for sale your Product serial number. (c) If You install this Product onto a multi-user platform, server or network, each and every individual user of this Product must be licensed separately or included by a multi-user or site license. Others may not Use or install Your copy of this Product. (d) You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile this Software, Clip Art or Fonts. You shall not create any derivative works or other works that are based upon or derived from this Software in whole or in part. (e) You shall Use this Product in compliance with all applicable laws and not for any unlawful purpose. (f) You agree not to export or re-export the Product except in compliance with international trade laws, the export laws of any country where this Product is used and the United States Department of Commerce Bureau of Industry and Security Export Administration Regulations (EAR), including but not limited to compliance with EAR restrictions on export or re-export of the Product: i) to an embargoed country; ii) to individuals and organizations prohibited from receiving US exports; and iii) in support of a prohibited end use (g) You may not resell, sublicense or otherwise distribute the Clip Art contents, whether alone or as part of another collection, whether as computer images, printed images or any other medium. These restrictions apply to modifications of the Clip Art, whether or not they constitute derivative works under applicable copyright laws, as well as to the original Clip Art. (h) You agree not to resell, sublicense, distribute, modify, adapt or create derivative works based on the Fonts. Unauthorized copying of the Fonts, even if modified, merged, or included with other software is expressly prohibited. Upon request by ACD, You agree to give ACD access to Your site during regular business hours solely for the purpose of ensuring compliance with this Agreement. 5. Registration - To register this Product You can do one of the following: 1) complete and mail the printed registration card (if applicable) to ACD; 2) submit the registration information online through the registration screen found within this Product (if applicable); or 3) submit the registration information online through ACDs Support pages at http://www.acdsee.com/support/. As a registered user, You will have the option to receive helpful information and special email offers for ACD customers. You agree that ACD may collect and use information gathered in any manner as part of the product support services provided to You, if any, related to this Product. ACD may also use this information to provide notices to You which may be of use or interest to You. You can elect to not receive any further notices from ACD, either by 1) unsubscribing directly to any e-mail You receive or 2) by visiting our preference center at: http://www.acdsee.com/community/ which lists the publications You are subscribed to and allows You to unsubscribe or change Your preferences (You can log-in to the preference center once You have submitted Your e-mail address to ACD and it has been processed). The Product contains components that enable and facilitate the use of certain Internet-based services. You acknowledge and agree that ACD may automatically check the version of this Product that You are utilizing and may provide upgrades or fixes to this Product. In order to receive such upgrades or fixes, You must agree to the download when prompted. You are not obligated to download any upgrades or fixes to this Product that are provided by ACD.
