10TEC COMPANY LICENSE AGREEMENT FOR ALL SOFTWARE PRODUCTS This is a legal agreement between you, the Developer End User, and 10Tec Company. By installing this Software Product, you are agreeing to be bound by the terms of this agreement. If you do not agree to the terms of this Agreement, promptly destroy the package with the Software Product and the accompanying electronic items, any written materials and binders or other containers should be returned to the place you obtained them from for a full refund if applicable. 1. GRANT OF LICENSE ==================== 10Tec Company grants the Developer End User the right to install and use the Software Product, which includes computer software and may include associated media, printed materials, and online or electronic documentation (all of which comprises the Software Product) on an unlimited number of computers and on portable computers operated solely by the Developer End User for the sole purposes of designing, developing, testing, and deploying application programs. 2. COPYRIGHT ============= The Software Product is owned by 10Tec Company and is protected by the Ukraine copyright laws and international treaty provisions. You must therefore treat the Software Product like any other copyrighted material (for example, a book or musical recording) except that you may make copies of the files of the Software Product solely for software development or archival purposes. You may not copy the written materials accompanying the Software Product. 3. TERM OF LICENSE =================== The license will continue until you physically destroy all copies of the Software Product and merged portions thereof, and return the original program media and documentation (if any) to your supplier of the Software Product. 4. EVALUATION LICENSE ====================== The Developer End User is granted a License for a period of only thirty (30) days after installation of the evaluation version of the Software Product. After this evaluation period, the Developer End User shall either (i) delete the Software Product and all related documentation from all computers onto which it was installed or copied, or (ii) contact 10Tec Company or one of its authorized resellers to purchase the Software Product. The Developer End User may use the evaluation version of the Software Product for evaluation purposes only. The Developer End User may not distribute any of the files, in any form or manner, provided with the evaluation version of the Software Product to any parties. 5. LICENSING AND DISTRIBUTION ============================== To use and distribute the Software Product, the Developer End User must register the Software Product by purchasing one of the following licenses: LICENSE WITHOUT SOURCE CODE (applicable for all types of products). Allows the Developer End User to obtain and use the executable files of the registered Software Product to create end-user applications. If applicable, this license grants the Developer End User the non-exclusive, royalty-free license to duplicate the redistributable files of the Software Product and to distribute them solely in conjunction with software products developed by the Developer End User that use them. LICENSE WITH SOURCE CODE (applicable for components only). Allows the Developer End User to obtain and use the executable files and source code of the registered Software Product to create end-user applications. If applicable, this license grants the Developer End User the non-exclusive, royalty-free license to duplicate the redistributable files of the Software Product and to distribute them solely in conjunction with software products developed by the Developer End User that use them. The original or modified source code of the registered Software Product may be used and modified only on the computers of the Developer End User, but this original or modified source code can be used in the compiled form in any application inside the company the Developer End User works for. SOURCE CODE REDISTRIBUTION IN APPLICATIONS LICENSE (applicable for components only). Allows the Developer End User to obtain and use the executable files and source code of the registered Software Product to create end-user applications. If applicable, this license grants the Developer End User the non-exclusive, royalty-free license to duplicate the redistributable files of the Software Product and to distribute them solely in conjunction with software products developed by the Developer End User that use them. The Developer End User may distribute the original or modified source code of the registered Software Product world-wide and royalty-free only in the form of a compiled end-user application created by the Developer End User. All the licenses listed above imply that the Developer End User is prohibited from charging, or requesting donations, for any standalone copies of the executable files of the registered Software Product, however made. The Developer End User is prohibited from redistribution of the original or modified source code of the Software Product in the form of source code or as a new standalone product as well. Each license grants the corresponding rights described above only to one developer; other developers must purchase the corresponding licenses one per each developer. 6. FUTURE SOFTWARE PRODUCT CHANGES =================================== From time to time, at its sole discretion, 10Tec Company may provide enhancements, updates, bug fixes or new versions of the Software Product on its then standard terms and conditions thereof. This Agreement shall apply to such enhancements. 7. OTHER RESTRICTIONS ====================== You may not rent or lease the Software Product, but you may transfer the Software Product and accompanying written materials on a permanent basis provided you retain no copies and the recipient agrees to the terms of this Agreement. You may not reverse engineer, decompile, or disassemble the Software Product. If the Software Product is an update, any transfer must include the update and all prior versions. 8. MONEY-BACK GUARANTEE ======================== If the Developer End User is the original licensee of the Software Product and is not completely satisfied with it for any reason, he/she is entitled to receive a refund of the money he/she paid for the Software Product (less shipping, handling, and any applicable taxes) by so notifying 10Tec Company or its authorized reseller in writing at any time during the thirty (30) day period following the date of purchase. 9. DISCLAIMER ============== This Software Product and all accompanying documentation are sold "as is" without any warranty as to their performance, merchantability or fitness for any particular purpose. In no event shall 10Tec Company or anyone else who has been involved in the creation, development, production, or delivery of this software be liable for any direct, incidental or consequential damages, such as, but not limited to, loss of anticipated profits, benefits, use, or data resulting from the use of this software, or arising out of any breach of warranty. 10. ACKNOWLEDGEMENTS ===================== You acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
